These Terms of Service ("Terms") are a legal agreement between you and Hinata LLC, a limited liability company registered in the State of Utah ("Hinata," "we," "us," or "our"), and cover your access to and use of the website at hinata.llc (the "Site") and the content, forms, chat widget, email and text-message communications, free resources, and related services offered through it by Hinata LLC and its brands Wawon REI and ZenvorauOS (together, the "Services"). By using the Services you agree to these Terms. If you do not agree, do not use the Services.
1. Who may use the Services
You must be at least 18 years old and able to enter into a binding contract. You are responsible for the accuracy of the information you give us and for complying with the laws that apply to you.
2. No professional advice
All content on the Site — including anything published by Wawon REI about real estate, and anything published by ZenvorauOS about automation or content — is provided for general informational and educational purposes only. It is not financial, investment, legal, tax, accounting, or real estate brokerage advice, and it is not a substitute for advice from a licensed professional.
Wawon REI is a real estate wholesale business. It is not a licensed real estate brokerage, mortgage broker, investment adviser, or law firm. Real estate investing carries risk, including loss of your investment. Any example figures or results are illustrative only and are not a promise of future outcomes. Always do your own due diligence and consult licensed professionals before making a real estate or financial decision.
3. Property submissions, buyers list, and transactions
Submitting a property, joining a buyers or investor list, or contacting us does not create any partnership, agency, brokerage, joint venture, or fiduciary relationship, and does not obligate anyone to buy, sell, assign, or present any property. Any property information we share is for your own independent evaluation and is not a representation or warranty as to condition, value, title, zoning, or any other matter. Every transaction is governed by a separate written agreement between the parties.
4. Free resources
Any free guides, templates, spreadsheets, or kits are provided "as is," may reference third-party county records and tools we do not control, and may become outdated. We may change or discontinue them at any time.
5. Communications, calls, and text messaging
When you give us your phone number — through a form on this Site, on a phone call, through the chat widget, or on a signed agreement — you consent to receive communications from Hinata LLC and the relevant brand at that number, including phone calls and recurring SMS/MMS text messages about the matter you contacted us about: property and deal follow-up, offer and closing details, appointment scheduling, buyer or seller updates, customer service, and account messages. These messages may be sent using automated technology.
- Consent to receive text messages is not a condition of buying or selling anything.
- Message frequency varies. Message and data rates may apply.
- Reply STOP to any text message to opt out at any time. Reply HELP for help. Carriers are not liable for delayed or undelivered messages.
- To opt out of phone calls or email, tell us on any call, reply "unsubscribe" to any email, or use the contact details below.
Mobile phone numbers and messaging consent are not sold, rented, or shared with third parties for their own marketing or promotional purposes. Numbers may be shared with the service providers that operate our phone and messaging systems, only so those messages can be delivered, as described in our Privacy Policy.
6. Acceptable use
You agree not to use the Services for any unlawful, fraudulent, or deceptive purpose or in violation of any real estate, licensing, telemarketing, or anti-spam law (including the TCPA and CAN-SPAM); not to resell or republish our content without written permission; not to attempt to break, overload, or gain unauthorized access to the Site; and not to misrepresent your identity or affiliation.
7. Intellectual property
The Site and its content are owned by Hinata LLC or its licensors. You may view and use the content for your own personal, non-commercial use. All other rights are reserved.
8. Third-party services
The Site relies on third-party services, including Google (fonts and form storage) and LeadConnector / HighLevel (chat widget and phone/SMS/email communications). We are not responsible for third-party content or practices; your use of them is governed by their own terms.
9. Disclaimer of warranties
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any information is accurate or current.
10. Limitation of liability
To the fullest extent permitted by law, Hinata LLC and its members, managers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any lost profits or revenue, arising out of or relating to the Services. Our total liability for any claim relating to the Services will not exceed US $100.00.
11. Indemnification
You agree to indemnify and hold harmless Hinata LLC from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your breach of these Terms, or your violation of any law or third-party right.
12. Changes
We may change the Services or these Terms at any time. The "Last updated" date above shows the most recent change. Continuing to use the Services after a change means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws rules. The state and federal courts located in Utah have exclusive jurisdiction over any dispute relating to these Terms or the Services, and you consent to venue there.
